This Agreement contains the Wholesale Terms and Conditions that apply to each individual person or business that joins the CityGirl Planners Wholesale Reseller Program (herein referred to as “Program”). As used in this Agreement, “we”, “us”, or “our” means CityGirl Planners and our affiliates, and “you”, “your”, “Buyer” or “Reseller” means the wholesale buyer. In the case of breach of this Agreement, CityGirl Planners reserves the right to terminate the Reseller’s enrollment in the CityGirl Planners Wholesale Reseller Program at any time at sole discretion of the company. By accessing or using the website (www.CityGirlPlanners.com), herein referred to as “Website”, you are acknowledging that you have read, understand, and agree, without limitation or qualification, to be bound by these Wholesale Terms and Conditions:
Businesses (online/brick and mortar) in the stationery and craft industry are eligible to apply to become a CityGirl Planners Wholesale Reseller. In order to run the Program efficiently and successfully, you must provide accurate and complete information during registration.
Wholesale applications will be assessed based on the compatibility of the individual business or online store with our brand and our products. Internet auctions (i.e., eBay) are not a preferred method of retail distribution and are prohibited. We do not approve websites not owned and operated by the Buyer (i.e., Amazon, Etsy, etc). We reserve the right to reject any Buyer’s application to enroll in the Program at any time for any reason. We review every application. You will be notified of your acceptance or rejection into the Program by email.
Wholesale customers must divulge the location(s) of their sales of our products. The Buyer must inform us during the wholesale application process or by email if the Buyer would like to add an additional venue after they have been approved as a wholesale reseller. We must approve the venue(s) before the product can be sold on the website(s) or physical location(s). Any non-approved venues may cause revocation in the Program, immediately and without any prior warning.
We prohibit the participation of online stores that are determined unsuitable for the Program due to, but not limited to, legal and ethical reasons. Possible reasons for this might be websites:
- with pornographic content;
- that glorify violence, contain youth endangering material or defame or discriminate a person or a group of people because of their religion, their race, their disability or other reasons;
- that contain racist or sexist content;
- that infringe on the intellectual property of others;
- that contain the name “CityGirl Planners” in the website domain name or any URL where our products will be sold;
- that contain variations of the CityGirl Planners logo, HappyCardFactory Designs or any other CityGirl Planners trademark;
- that contain false advertisements, inflammatory or untrue statements regarding CityGirl Planners and parent company;
- that violate National or International law.
It is also prohibited to:
- send bulk e-mails (spam) without prior consent of the recipient, as a means to generate a sale of any of our products on your website; and
- use the name “CityGirl Planners”, “CityGirl Planner”, “CityGirlPlanners”, “CGP”, “HappyCardFactory Designs”, “HCF”, HCF Designs” or any other variation as the display domain or URL for paid search advertising (such as Google Adwords, Microsoft Adcenter, etc.) when trying to generate traffic to your online store.
(a) Minimum Order
Opening order minimum of $200; reorder minimum of $100.
Orders must be prepaid. We accept credit cards (Amex, Discover, Mastercard, Visa) and Paypal.
Any wholesale customer chargebacks through Paypal or the credit card company will result in immediate removal from the Program. Reapplication for the Program in the future will be denied.
(d) Product Availability & Eligibility
The product availability is stated on the individual product page. If you are ordering a large number of any one product, please contact us first so that we can check if we have enough stock to fill your order.
CityGirl Planners gift certificates in all denominations are not eligible for wholesale pricing and purchase.
(e) Product Pricing
All orders, including, but not limited to back orders, will be invoiced at the prices prevailing at the time of shipment. We reserve the right to change our wholesale pricing at any time without notice.
Any coupons, discounts, promotions (i.e., free gift over $30) are not eligible for wholesale orders. If the reseller adds any coupons, discounts or promotional codes to the wholesale order, the order will be canceled. Rewards points will not be earned and previous points cannot be use on any wholesale order.
(f) Placing An Order
To place an order, log into the “My Account” area of our website with your registered wholesale email and password. You will be able to view the wholesale pricing for our stationery products. Add the desired products into your shopping cart and checkout.
NOTE: Orders placed through a CityGirl Planners Affiliate link will be processed, but the Affiliate will not receive commissions and/or bonuses for the wholesale order.
(g) Shipping Cost
The shipping cost is displayed at checkout. Complimentary shipping within the US on orders of $400+. International wholesale customers will pay the shipping cost for their order.
If the Website displays an incorrect shipping quote, we will contact the Reseller to inform them of the correct shipping costs. The wholesale order will be adjusted to reflect the correct shipping costs or canceled if the Buyer does not agree to the updated shipping cost.
(h) Product Branding
We do not offer Private/White Labels of our products at this time. All products will be branded with our CityGirl Planners name and logo.
(i) Product Order Minimum
Each product sold at wholesale has a minimum order quantity of two (2) to be eligible for wholesale pricing.
Cancellation of orders must be requested in writing and will be accepted only if received one (1) day prior to shipment of order.
PRODUCT DEFECTS/DAMAGES DURING SHIPMENT
We accept returns within 30 days of purchase. Items are not eligible for a refund after 30 days. The details of our return policy are as follows:
- The item(s) being returned must be in new and unused condition;
- The item(s) must be returned in its original retail packaging, with all hangtags attached, instructions, brochures, parts and accessories (if applicable);
- A restocking fee of 25% is deducted off all refunds;
- If an item(s) being returned appears to be used and/or is missing any of its original components and packaging materials, a larger restocking fee is charged. The restocking fee will vary depending on the condition of the returned merchandise;
- Products returned in unsellable condition will not receive a refund;
- The original shipping charges of the order are not refundable;
- The return shipping charges will not be reimbursed;
- Any item(s) that originally shipped free to a wholesale customer (under a free shipping promotion), will be credited the product price plus applicable taxes less our incurred shipping cost and the restocking fee; and
- The refund will be credited back to the original method of payment.
Please inspect the merchandise immediately upon receipt. If you received a defective or damaged product, contact us within 4 business days. Authorization for a return of damaged/defective items will be issued at our discretion. If you received the wrong product or your order is missing a product, please contact us within 4 business days and we will gladly correct our mistake. We will not make any attempt to address complaints of defective or damaged products, incorrect products received or missing products after 4 business days. It is the Reseller’s responsibility to inspect the received merchandise immediately and ensure that all merchandise delivered matches the order. All orders leaving our facility will be photographed prior to packaging.
Returns must be approved by CityGirl Planners and accompanied by a Return Merchandise Authorization (“RMA”) number issued by our website. Do not ship the item(s) until you receive an authorization email from us for the RMA. After you receive the authorization email, securely pack the unwanted product(s) or the damaged/defective item(s) (along with all of its original components and packaging materials) into a box suitable for shipping. Write the RMA number on the OUTSIDE of the shipping box containing the returned product(s). We will issue the refund promptly or ship the replacements of the damaged/defective product(s) to you after we receive the returned item(s). Refunds are usually processed within 3 business days after receiving the returned goods.
Wholesale online customers who resell our products on a website are encouraged to have our products professionally photographed in a way that matches their website. We do not offer our product photographs to wholesale online customers. Please do not remove product pictures from our website or hot-link to them.
The retail pricing for each product is listed on the individual product page. You must display the retail price within your store or on your website according to what is listed on our Website. Reseller pricing cannot go below CityGirl Planners current retail. If you sell our products for less than the wholesale price, we may terminate your participation in the Program.
Products purchased through our wholesale program may be placed on sale along with any promotion currently running on our Website. Sale start and end dates must coincide with ours. You do not have to place products on sale during our promotions if you would prefer not to.
We may occasionally change the retail pricing for a certain product. It is your responsibility to visit our Website periodically to check the current product pricing and adjust it accordingly within your retail store or website. If you wish to “clearance” out a product, please notify CityGirl Planners through email first.
COMPLIANCE WITH LAWS
By participating in the Program, you agree as a participant to comply with all laws, ordinances, rules, regulations, orders, licenses, permits, judgments, decisions or other requirements of any governmental authority that has jurisdiction over you, whether those laws, etc. are now in effect or later come into effect during the time you are a participant of the Program.
TERM OF THE AGREEMENT
The term of this Agreement will commence upon our acceptance of your Program application and will end when terminated by either party. Either party of this Agreement is allowed to terminate it at any time, with or without cause, by giving the other party written notice of termination.
REVOCATION OF ENROLLMENT
We will terminate your affiliation with the Program if the terms of this Agreement are broken. If we suspect fraudulent activity, your wholesale account may be canceled immediately and without prior warning. Once your enrollment in the Program is revoked, you cannot rejoin the Program in the future.
We may modify this Agreement as well as our wholesale and retail pricing at any time and in our sole discretion. The updated Agreement and any changes in retail and wholesale pricing will be posted on the Website. You must terminate your Wholesale Reseller status with us if any modification has been found unacceptable by you. The responsibility to remain familiar with the Terms and Conditions of this Agreement is that of the Buyer. Please check this page periodically for updates and changes.
